BOXEDBY AV — TERMS & CONDITIONS Version: draft — pending legal and Shariah review. HOW WE OPERATE — PLEASE READ FIRST (VENDOR-INDEPENDENT · NO-STOCK · SHARIAH-COMPLIANT) A. We are vendor-independent and we do NOT hold our own hardware stock. We design each RaaS solution around equipment available from our distributor and brand partners at the time you place your order. B. Every solution shows its availability — "in stock now", an estimated lead time (for example "ships in 2 days"), or "unavailable". Delivery timelines follow our partners' actual availability at the time of your order. C. When you order a RaaS solution and pay with Vaulted Points, your points are HELD (reserved) — they are NOT charged yet. We charge (capture) them only after we have purchased the equipment from the distributor and moved your order to "processing". If we cannot source it, the hold is released in full and you are charged nothing. This keeps the transaction Shariah-compliant: we take the goods into our ownership before completing the sale to you. D. Transparent pricing: solutions are offered at the OEM/distributor release price plus our own margin (typically 10–15%) covering design, integration and on-site installation. Service and lease charges are additional and shown separately. E. Ownership: for outright purchases, title passes to you when payment is captured; for leases, ownership of the equipment stays with Boxedby AV (see the lease clause). 1. WHO WE ARE Boxedby AV ("Boxedby AV", "we", "us") operates an AV Platform-as-a-Service. These Terms govern your use of the platform and all services offered through it, including Room-as-a-Service (RaaS), Auto-Design (DIWM), Expert Design (DIFM), the Boxed-IT marketplace and on-demand service visits (SVCR). The operating entity, registered address and contact details are set by us and shown at checkout and in your account. 2. YOUR ACCOUNT You must provide accurate details and keep your credentials secure. Business and enterprise accounts may be reviewed before activation. You are responsible for activity under your account. 3. VAULTED POINTS (SHARIAH-COMPLIANT ECONOMY) 3.1 Vaulted Points are a prepaid store of value used to pay for solutions and services. 100 Vaulted Points = 1 US Dollar unless stated otherwise. 3.2 Purchased Vaulted Points never expire and are never frozen. There is no membership subscription required to use or unlock them. 3.3 Unused purchased Vaulted Points are your money and are withdrawable, subject only to a small processing fee disclosed at the time of withdrawal. 3.4 Bonus, promotional and free Vaulted Points (for example a sign-up welcome bonus) are granted at our discretion and expire after a period of non-use, as shown in your account. Expiry only ever affects bonus points — purchased points are never touched. 4. ROOM-AS-A-SERVICE (RaaS) — BUYING RaaS solutions can be bought outright with Vaulted Points or cash, at the OEM/distributor release price plus our margin (typically 10–15%) for design, integration and installation. Points orders are HELD, not charged, until we source the equipment from the distributor and move the order to "processing" (see "How we operate" above); title passes to you when payment is captured. Warranty terms are shown on the listing. 5. ROOM-AS-A-SERVICE (RaaS) — LEASING 5.1 Selected solutions may be leased monthly or yearly (yearly at a discounted rate). Leasing is offered only on solutions we mark as available to lease. 5.2 Ownership of leased equipment remains with Boxedby AV at all times. You receive the right to use it for the lease term. 5.3 At the start of a lease you pay, from your Vaulted Points: the first period charge; any one-time fee; a refundable damage deposit; and a refundable default-protection buffer (a part-payment held in reserve). 5.4 Setup, delivery and on-demand maintenance are included in the lease rate as described on the listing. 5.5 AUTO-RENEWAL. Unless cancelled with the required notice, a lease auto-renews at the end of each period and the renewal charge is drawn from your Vaulted Points. If your balance is short, the shortfall is drawn from the default-protection buffer so your service continues without interruption. 5.6 DEFAULT. If neither your Vaulted Points nor the buffer can cover a renewal, the lease is marked past-due. On continued non-payment or non-return we may: suspend service; apply the buffer and deposit against amounts owed; charge an early-termination fee; recover the equipment physically from the registered site location; and pursue any remaining balance through lawful means. You agree to provide and keep current a precise site location to enable delivery, service and, if necessary, recovery. 5.7 END OF LEASE. On return in good condition, the deposit and any unused buffer are refunded to your Vaulted Points, less any documented damage or amounts owed. 6. PRECISE SITE LOCATION For any leased or installed solution you must provide an accurate, precise site location (for example a Google Maps link or pinned address). This is used for delivery, service visits and, where a lease defaults, equipment recovery. 7. SVCR — ON-DEMAND SERVICE Service visits are charged per call from your Vaulted Points at the rates shown. There is no compulsory annual maintenance contract. 8. FEES & CHANGES Prices, rules and these Terms may change. Material changes are published with a new version number; continued use after a change constitutes acceptance. 9. GOVERNING LAW These Terms are governed by the laws applicable in the jurisdiction of the contracting Boxedby AV entity (United Arab Emirates or Kingdom of Saudi Arabia as applicable).
